1. The Ministry of Finance of the People’s Republic Of China has received an ODA Loan from Japan Bank for International Cooperation (hereinafter referred to as the JBIC) in the amount of 19,564 million Japanese yen toward the cost of the Shannxi Water Environmental Improvement Project (Xi’an City) and intends to apply the proceeds of the loan to part payments under the contracts for which this invitation for Bids is issued. Disbursement of the ODA Loan by JBIC will be subject, in all respects, to the terms and conditions of the Loan Agreement, including the disbursement procedures and the ‘Guidelines for Procurement under JBIC ODA Loans’.

2. JBIC requires that bidders and contractors, as well as the purchaser, under contracts funded with JBIC ODA Loans and other Japanese ODA, observe the highest standard of ethics during the procurement and execution of such contracts.

3. CMC International Tendering Co. is authorized to invite sealed bids from eligible bidders from eligible source countries for the supply of the equipment/material listed below. According to the Loan Agreement, the eligible source countries refer to all the countries and areas in the world.

4. A complete set of bidding documents may be purchased by any interested eligible bidder at CMC International Tendering Co. upon nonrefundable payment of RMB6000 from 9:00 to 11:00 and 14:00 to 16:00 (Beijing Time) from October 27 to December 9, 2008 (Except public holidays).

5. All bids must be accompanied by a bid security of not less than three percent (3%) of its Bid Price, and must be delivered in person to Xi’an City, Shaanxi Province, China, at or before 10:00 a.m. (Beijing Time) on December 10, 2008

6. Bids will be opened in public at 10:00 a.m. (Beijing Time) on December 10, 2008 at Xi’an City.

7. Neither CMC International Tendering Co. nor the Enduser will be responsible for any costs or expenses incurred by bidders in connection with the preparation or delivery of bids.

INVITATION FOR PREQUALIFICATION

1. The Ministry of Finance of the People’s Republic of China has received an ODA Loan from Japan Bank for International Cooperation (hereinafter referred to as the JBIC) in the amount of 19,564 million Japanese yen toward the cost of the Shaanxi Water Environmental Improvement Project (Xi’an) and intends to apply the proceeds of the loan to part payments under the contracts for which this Invitation for Prequalification is issued. Disbursement of the ODA Loan by JBIC will be subject, in all respects, to the terms and conditions of the Loan Agreement, including the disbursement procedures and the ‘Guidelines for Procurement under JBIC ODA Loans’. No party other than Xi’an Municipal Government and its authorized Procurement Agent, CMC International Tendering Co., shall derive any rights from the Loan Agreement or have any right to the loan proceeds. The above Loan Agreement will cover only a part of the project cost. As for the remaining portion, Xi’an Municipal Government will raise funds in China.

2. JBIC requires that bidders and contractors, as well as XI’AN MUNICIPAL INFRASTRUCTURE CONSTRUCTION INVESTMENT & MANAGEMENT CO. LTD (hereinafter called the “Employer”) entrusted by Xi’an Municipal Government and its authorized Procurement Agent, CMC International Tendering Co. (hereinafter called the “Procurement Agent”), under contracts funded with JBIC ODA Loans and other Japanese ODA, observe the highest standard of ethics during the procurement and execution of such contracts.

3. The contractors of this project will be chosen in accordance with the “Guidelines For Procurement Under JBIC ODA Loans” and in the form of open tender in China.

4. The location for this project is in Xi’an city of Shaanxi Province. Attached is the contents of Commodities.

5. CMC International Tendering Co. is authorized by Xi’an Municipal Infrastructure Construction Investment and Management Co., Ltd. to invite domestic and foreign companies with corresponding qualifications or joint ventures to apply for this Prequalification.

6. The applicants for Prequalification shall meet the following minimum requirements for qualification:

(a) The Applicant(s) shall have the average business turnover amount of RMB 50,000,000.-(including successfully completed and the contract under executing) in the past three years;

(b) The Applicant(s) shall have the experience of supply the necessary construction materials to at least 3 urban infrastructure projects (such as the water supply, water drainage, sewage water plant and urban roads etc.) in the past five years, and one of the projects shall have been successfully operated for at least one year;

(c) The domestic Applicant shall have the registered capital of at least RMB 150,000,000.-.

Credit Line is not less than RMB 50,000,000-;

Cash flow about RMB 30,000,000.-in one year;

Pass the ISO9000 series certification or the equivalent international certification;

The rate of capital Liabilities: not more than 60%;

(d) The manufacturers employed through the applicant shall pass the ISO9000 series certification or the equivalent international certification; the manufacturers of cement, reinforced concrete pipe shall have at least 10 years manufacturing experiences; the manufacturers of steel, steel pipe and ductile cast iron pipe shall have at least 5 years manufacturing experiences; the manufacturers of stainless steel air pipe, UPVC plastic pipe, HDPE plastic pipe, PE plastic pipe, ABS plastic pipe and FRP Pipe shall have at least 3 years manufacturing experiences.

7. Applicant may purchase the Prequalification Documents from the Procurement Agent from 9:00 a.m. to 11:00 a.m. and 2:00 p.m. to 4:00 p.m. (Beijing time) on working days from October 14 to 24 2008. The documents are available for a nonrefundable fee of RMB6, 000.
